1. Ámbito y contratación1. Scope and contracting
Estos términos regulan el uso comercial general de los servicios de ITACHI CONSULTORES, S.L.. Ningún texto, precio orientativo, formulario o respuesta inicial constituye por sí solo una oferta definitiva. El contrato se forma cuando ambas partes aceptan una propuesta, presupuesto o contrato que identifica alcance, entregables, calendario, precio y condiciones de pago.
These terms govern the general commercial use of services provided by ITACHI CONSULTORES, S.L.. No website text, indicative price, form or initial response constitutes a final offer by itself. A contract is formed when both parties accept a proposal, quotation or contract identifying scope, deliverables, schedule, price and payment terms.
2. Clientes y autoridad2. Clients and authority
Quien contrata en nombre de una organización declara estar autorizado. Los consumidores deben facilitar información veraz y pueden disfrutar de derechos imperativos adicionales que estos términos no limitan.
A person contracting for an organisation represents that they are authorised. Consumers must provide accurate information and may have additional mandatory rights that these terms do not restrict.
3. Alcance, colaboración y dependencias3. Scope, cooperation and dependencies
El cliente facilitará a tiempo información, decisiones, accesos autorizados, contenidos y personal de contacto. Los retrasos o inexactitudes pueden afectar al calendario y coste. Servicios de terceros, licencias, alojamiento, dominios, desplazamientos e impuestos se incluyen solo cuando la propuesta lo indique.
The client will provide timely information, decisions, authorised access, content and contacts. Delay or inaccuracy may affect schedule and cost. Third-party services, licences, hosting, domains, travel and taxes are included only where stated in the proposal.
4. Precios, impuestos y pagos4. Prices, taxes and payments
Los rangos de €1.500 a €3.500 publicados son orientativos para alcances habituales. La propuesta confirma el precio y los impuestos aplicables. Salvo pacto distinto, puede solicitarse un pago inicial para reservar capacidad y pagos por hitos. Las facturas vencerán en el plazo indicado. Ante impago, podrá pausarse el trabajo tras aviso, respetando la legislación aplicable.
Published ranges of €1,500 to €3,500 are indicative for typical scopes. The proposal confirms price and applicable taxes. Unless agreed otherwise, an initial payment may reserve capacity with further milestone payments. Invoices fall due on the stated date. Work may be paused after notice for non-payment, subject to applicable law.
5. Cambios y retrasos5. Changes and delays
Una solicitud que modifique funciones, volumen, integraciones, calendario o supuestos puede requerir una orden de cambio, presupuesto adicional o nueva fase. No se incorporará trabajo adicional material sin informar de su impacto y obtener aceptación.
A request changing functions, volume, integrations, schedule or assumptions may require a change order, additional quotation or new phase. Material additional work will not be incorporated without explaining its impact and obtaining acceptance.
6. Entrega, revisión y aceptación6. Delivery, review and acceptance
El cliente revisará entregas dentro del periodo indicado en la propuesta y comunicará discrepancias concretas respecto a los criterios acordados. Los defectos atribuibles a los entregables se corregirán conforme al periodo de corrección definido. Nuevas preferencias o funciones no son defectos.
The client will review deliveries within the proposal’s stated period and report specific deviations from agreed criteria. Defects attributable to deliverables will be corrected within the defined correction period. New preferences or features are not defects.
7. Propiedad intelectual7. Intellectual property
La propuesta identificará derechos de uso o cesión. Salvo pacto distinto, los derechos sobre entregables creados específicamente se transfieren o licencian tras el pago completo. ITACHI CONSULTORES, S.L. conserva herramientas, conocimientos, plantillas, componentes preexistentes y elementos reutilizables. El software de terceros mantiene sus propias licencias.
The proposal will identify usage or assignment rights. Unless otherwise agreed, rights in bespoke deliverables are transferred or licensed after full payment. ITACHI CONSULTORES, S.L. retains tools, know-how, templates, pre-existing components and reusable elements. Third-party software remains subject to its own licences.
8. Confidencialidad y datos8. Confidentiality and data
Cada parte protegerá la información confidencial recibida y la utilizará para el proyecto. Cuando ITACHI CONSULTORES, S.L. trate datos personales por cuenta del cliente, se acordará el correspondiente encargo de tratamiento cuando sea necesario.
Each party will protect confidential information received and use it for the project. Where ITACHI CONSULTORES, S.L. processes personal data on the client’s behalf, an appropriate data-processing agreement will be entered into where required.
9. Garantías y limitaciones9. Warranties and limitations
Prestamos los servicios con diligencia profesional y conforme al alcance. No garantizamos resultados comerciales, ausencia absoluta de vulnerabilidades, compatibilidad con cambios futuros de terceros o funcionamiento ininterrumpido de Internet y servicios externos. La responsabilidad no se excluirá cuando la ley lo prohíba, especialmente por dolo, lesiones o derechos imperativos de consumidores. Las limitaciones adicionales se definirán de forma razonable en el contrato.
Services are performed with professional care and in accordance with scope. We do not guarantee commercial outcomes, absolute absence of vulnerabilities, compatibility with future third-party changes, or uninterrupted Internet and external services. Liability is not excluded where prohibited by law, including for fraud, personal injury or mandatory consumer rights. Any further limitations will be reasonably defined in the contract.
10. Duración, terminación y fuerza mayor10. Duration, termination and force majeure
La duración figura en la propuesta. Cualquiera de las partes podrá resolver por incumplimiento material no subsanado tras un aviso razonable, salvo casos que permitan terminación inmediata. Ninguna parte responderá de retrasos fuera de su control razonable; se comunicarán y mitigarán sus efectos.
Duration is stated in the proposal. Either party may terminate for a material breach not remedied after reasonable notice, except where immediate termination is permitted. Neither party is responsible for delay beyond reasonable control; its effects will be communicated and mitigated.
11. Ley y controversias11. Law and disputes
Se aplica la ley española. Las partes intentarán resolver desacuerdos de buena fe. Si no es posible, se acudirá a los tribunales competentes conforme a la normativa, sin privar a consumidores de su fuero ni derechos imperativos.
Spanish law applies. The parties will attempt to resolve disagreements in good faith. If this is not possible, disputes will go to competent courts under applicable rules, without depriving consumers of mandatory jurisdiction or rights.
